Terms of Service

These Terms of Service ("Terms") govern your use of SKUFoundry (the "Service"), operated by SKUFoundry ("we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
SKUFoundry converts product inventory spreadsheets into import files for e-commerce platforms, and stores related configuration and SKU data on your behalf. Features and limits vary by subscription plan as described on our pricing page.
2. Accounts
You sign in with a third-party identity provider (e.g. Google). You are responsible for activity under your account and for keeping access to your sign-in credentials secure. You must provide accurate information and be legally capable of entering into this agreement.
3. Your data
You retain all rights to the data you upload — inventory files, product information, configuration, and SKUs ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service. We never sell Customer Data or use it to compete with you. You are responsible for having the rights to the data you upload.
4. Subscriptions and billing
- Paid plans are billed in advance on a monthly basis via Stripe, our payment processor.
- You can upgrade, downgrade, or cancel at any time from your dashboard; changes to billing take effect per Stripe's proration rules.
- Cancelling stops future charges. Your account drops to the Free plan's limits at the end of the paid period — your data is not deleted.
- Fees are non-refundable except where required by law or at our discretion.
- We may change prices with at least 30 days' notice; changes apply from your next billing cycle.
5. Acceptable use
You may not misuse the Service: no unauthorized access attempts, interference with operation, reselling without permission, uploading malicious content, or use that violates applicable law.
6. Store connections and product pushes
- By connecting a third-party account (e.g. your Wix store or Google Drive) you authorize the Service to act using the credentials or tokens you provide, and you can revoke that access at any time from your dashboard or the third party's settings.
- The Service is additive only toward your store: it reads catalog data and creates new products. It is designed never to modify, overwrite, archive, or delete anything that already exists in your store.
- Products are pushed only after you review and confirm a preview. You are responsible for reviewing what you approve; what you confirm is what is created, at your direction.
- Third-party platforms are outside our control. We are not responsible for their actions, outages, pricing, data handling, or changes, and you are responsible for complying with their terms (including Wix's and Google's). SKUFoundry is an independent product and is not affiliated with or endorsed by Wix or Google.
7. Availability and changes
We aim for high availability but the Service is provided without uptime guarantees. We may modify or discontinue features; if we discontinue the Service entirely we will give reasonable notice and a way to export your data.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied. Generated import files should be reviewed before use; we are not responsible for the contents of your store or listings.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or lost profits or data.
10. Termination
You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms. On termination, provisions that by their nature should survive (including Sections 3, 6, 8, and 9) survive.
11. Changes to these Terms
We may update these Terms; material changes will be announced via the Service or email. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Mississippi, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Mississippi, and you consent to their jurisdiction.
